Terms of Service

Please read these terms carefully before using our services.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and Aurevian Labs ("Company", "we", "us", or "our") governing your access to and use of our creative consulting services.

By engaging our services, submitting a project brief, or making a payment, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Services Provided

Aurevian Labs offers creative consulting services including but not limited to:

  • Creative Consulting
  • Branding Strategy
  • Digital Content Strategy
  • Visual Identity Design
  • Brand Positioning & Guidelines
  • Strategic Planning & Execution

Services are delivered according to the scope outlined in your project agreement. We reserve the right to modify service offerings with prior notice.

3. Use Restrictions

You agree not to:

  • Use our services for any illegal or unauthorized purpose
  • Submit content that infringes on third-party rights
  • Reverse engineer or attempt to access our proprietary methodologies
  • Share login credentials or project access with unauthorized parties
  • Use our services in a way that disrupts or harms our operations

4. Intellectual Property

All methodologies, processes, templates, and materials developed by Aurevian Labs remain our exclusive intellectual property unless explicitly transferred in a project agreement.

Client-provided materials remain the property of the Client. Upon project completion and final payment, we transfer ownership of deliverables as specified in the agreement.

5. User Content

You retain all rights to content you provide. You grant us a non-exclusive license to use, modify, and display your content solely for the purpose of providing services.

You represent that your content does not infringe on any third-party rights and that you have the authority to grant such license.

6. Fees & Payment

Service fees are as specified in your project agreement. Payment terms are typically:

  • 50% deposit upon agreement signing
  • 50% upon project completion
  • Payment due within 14 days of invoice date

Late payments may incur a fee of 1.5% per month. We accept payment via wire transfer, check, or approved digital platforms.

7. Cancellation & Refunds

Cancellations must be submitted in writing at least 7 days prior to project commencement. Cancellation fees may apply as follows:

  • More than 30 days before start: Full refund minus 10% processing fee
  • 7-30 days before start: 50% refund
  • Less than 7 days: No refund

Completed work remains billable regardless of cancellation.

8. Disclaimers

Our services are provided "as is" without warranties of any kind. We do not guarantee specific business outcomes, market performance, or brand success.

We are not responsible for delays caused by Client unavailability, third-party dependencies, or force majeure events.

9. Limitation of Liability

In no event shall Aurevian Labs be liable for any indirect, incidental, special, or consequential damages arising from your use of our services, even if we have been advised of the possibility of such damages.

Our total liability shall not exceed the amount paid by Client for the services in question.

10. Indemnification

You agree to indemnify and hold Aurevian Labs harmless from any claims, damages, or expenses (including legal fees) arising from your use of our services, your breach of these Terms, or your violation of applicable law.

11. Dispute Resolution

Any disputes arising under these Terms shall be resolved through binding arbitration in Louisville, Kentucky, under the rules of the American Arbitration Association.

If arbitration is unavailable, disputes shall be resolved in the state or federal courts located in Jefferson County, Kentucky.
